Acquisition Opens New Doors for Zachry and New ZCC subsidiary

May 2006

(San Antonio, Texas) - Zachry’s acquisition of Universal Utility Services, LLC (UUS) exemplifies the saying: “Big things sometimes come in small packages.” Prior to the Zachry acquisition, UUS was a subsidiary of Utility Engineering Corporation (UE).

UUS, which is now integrated within Zachry’s Industrial Services Division (ISD), has added a new dimension to the capabilities that ISD offers its customers. UUS specializes in repair and maintenance work on power plant and industrial cooling towers, as well as high-voltage substations, regulators and relays. Both the cooling tower and high-voltage services represent new expertise and performance enhancements to Zachry’s self-performance capabilities.

Zachry originally acquired UUS in April 2005 as part of its purchase of UE.

Even though UUS is aligned with ISD, it will continue to operate offices in Amarillo and Lubbock and serve its traditional and existing customers. In addition to the high-voltage and cooling tower work, the company does piping rehabilitation, painting and some general maintenance labor. UUS also performs baghouse maintenance at coal-fired power plants. ZCC’s extensive involvement in the plant services arena represents a perfect match for UUS’s future goals.

“Zachry is giving us access to new markets and customers, as well as its proven business development practices. So we now have the potential to grow geographically, which would not have been possible before,” said Dewayne Cox, vice president and general manager of UUS.

UUS has already performed successful projects at two ISD customer locations, confirming the fit that was anticipated in the merger. Additionally, UUS continues to provide maintenance and operations functions for the 17 high-voltage substations that Zachry now owns as a result of its acquisition of UE. Future plans call for UUS to continue to grow in its traditional market segments while placing much emphasis on delivering cooling tower and high-voltage service support to current ISD customers.
